Moolec Science, Bioceres Group merge to drive sustainable food innovation

The deal, signed on April 17, 2025, will establish Moolec as the parent company of the combined group.

LUXEMBOURG – Moolec Science, a pioneer in animal protein production through molecular farming, has announced a major all-stock business combination with Bioceres Group Limited and its affiliated entities, Nutrecon LLC and Gentle Technologies Corp.

The deal, signed on April 17, 2025, will establish Moolec as the parent company of the combined group, creating a significantly larger entity positioned at the forefront of innovation in food production, agricultural technology, and sustainability

This business combination is designed to leverage the complementary strengths of both organisations.

Moolec specialises in molecular farming, an advanced technology that engineers plants to express animal protein genes, enabling the production of animal proteins and nutritional oils directly from crops.

On the other hand, Bioceres Group brings to the table a robust portfolio of biological agricultural technologies, including climate-resilient seeds and microbial solutions, as well as a global commercial footprint.

Federico Trucco, CEO of Bioceres Crop Solutions and a board member of Bioceres Group, emphasised the importance of accelerating agricultural innovation to meet global challenges.

Molecular farming, as exemplified by Moolec Science, offers a compelling solution to the challenge of balancing productivity and sustainability,” Trucco stated, highlighting the efficiency of producing animal protein directly through plants compared to conventional crop yields.

Juan Sartori, founder and chairman of Union Group, echoed this sentiment, saying, “By combining science, scale, and sustainability, Moolec is positioned to lead a global transformation in how we produce food, materials, and energy.

The merger will also integrate Nutrecon’s expertise in food ingredients and Gentle Technologies’ synthetic biology capabilities, further diversifying the combined entity’s technology platforms.

Under the terms of the agreement, Moolec will issue up to 87 million new shares and 5 million warrants to the shareholders of Bioceres Group, Nutrecon, and Gentle Technologies.

Collectively, the merged group will manage more than 800 patents and 550 product registrations, with annual sales exceeding half a billion dollars across more than 50 countries

This expanded intellectual property portfolio and market reach are expected to drive significant growth and operational synergies.

The boards of all participating entities have unanimously approved the transaction, which is anticipated to close in the second quarter of 2025, pending regulatory and shareholder approvals.

Notably, the deal has already received support from 70% of Moolec’s current shareholders, indicating strong investor confidence in the strategic direction.

Leadership changes following merger

Following the business combination, CEO Gastón Paladini will step down from his position after the company’s Extraordinary General Meeting scheduled for April 22, 2025.

“I leave feeling sad, but also deeply fulfilled. I leave knowing that maybe, just maybe, I’ve left a mark on the world,” Paladini wrote in an exit statement.

José López Lecube, CFO of Moolec, explained that the merger would result in significant operational synergies, reducing costs and expanding the company’s ability to diversify its product portfolio.
